Definitions
These Terms and Conditions (the "Agreement") is made between User (as defined below) and Jackpot City Casino (collectively, the "Parties"). For purposes hereof, the term "User" means any individual or entity that accesses or uses Jackpot City Casino.
Acceptance of Terms and Conditions
By accessing or using Jackpot City Casino, User acknowledges it has read, understood, accepted, and agreed to be bound by these Terms and Conditions in their entirety.
Intellectual Property Rights
All intellectual property rights in and to Jackpot City Casino, including but not limited to the software code, text, graphics, logos, images, audio clips, videos, designs, arrangement of any content layers, formats, look and feel, methods of indexing, catalogs, directories, search engines, user interfaces, structures, sketches, flowcharts, protocols, product descriptions and all other materials contained on or accessible through Jackpot City Casino ("Content") are owned by the Parties.
User Conduct
User agrees not to use Jackpot City Casino for any purpose that is unlawful or prohibited by these Terms and Conditions.
Restricted Activities
User shall not reproduce, duplicate, copy, sell, resell, visit, access, transmit or otherwise exploit for any commercial purposes any portion of Jackpot City Casino, including but not limited to Content, user names, passwords, images, videos, text files, software code, structures, methods and materials.
Personal Data
User acknowledges that all data and communications transmitted by User via Jackpot City Casino shall be considered non-confidential. The Parties reserve the right to collect information about Users in accordance with applicable laws.
Disclaimer of Warranty
Jackpot City Casino is provided "as is", without any express or implied warranty, including but not limited to implied warranties of merchantability, fitness for a particular purpose or non-infringement and arising from course dealing use in trade or otherwise.
Limitation of Liability
In no event will the Parties be liable for any loss of business profits; lost business opportunity, goodwill, use data or other intangible losses (even if we have been informed that such damages were possible) resulting from:
- The use or inability to use Jackpot City Casino;
- Unauthorised access to or alteration of your transmissions or data.
Indemnification
User agrees to defend, indemnify and hold harmless the Parties against any claim made by a third party arising out of User's breach of these Terms and Conditions.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with applicable laws of England.
Amendments
Jackpot City Casino may amend or modify these Terms and Conditions from time to time without prior notice. Continued access to, use of, or reliance on Jackpot City Casino after the posting date constitutes acknowledgement and acceptance of any amended terms.
Termination
User acknowledges that the Parties reserve the right to terminate User's account at any point if it breaches any provision set out in these Terms and Conditions.
Survival
Upon termination all provisions that are intended by their nature or context to continue after such event will so continue, including without limitation our obligation to indemnify each other and defend against claims brought under warranty.
Entire Agreement
These Terms and Conditions constitute the entire understanding between User and Jackpot City Casino with regard to its subject matter, replacing any prior written or oral agreements.
Severability
If a court of competent jurisdiction finds that any provision hereof is invalid, void, or unenforceable, it will be reformed only to the extent necessary to make this Agreement valid and enforceable.
Waiver
No delay or omission by either party to exercise its rights shall operate as a waiver thereof.
Force Majeure
Neither Party shall have any liability for failure or delay in performance under these Terms and Conditions resulting from events beyond their control, including without limitation:
- Acts of God,
- civil unrest,
- terrorism,
- natural disaster,
- war,
or the failure of third party software suppliers to provide adequate support.
- Severability
In no event will a court of law at any point find that Jackpot City Casino is in breach for these terms and conditions in relation to matters beyond it's control
